About the Role

The Milan office of Latham & Watkins is looking for a law graduate/graduating student with a strong interest in pursuing a professional path in an international legal environment, for placement through a paid internship or early-stage traineeship ("pratica anticipata") within the Corporate M&A/Private Equity department. The Corporate department advises private equity funds, listed and non-listed companies, industrial groups, and international investors on extraordinary transactions, including mergers and acquisitions, investments, joint ventures, corporate reorganizations, and other complex corporate transactions.

Working alongside the tutor and a team of young professionals, the candidate will be actively involved in various activities, including:

- Supporting legal research activities and the preparation of memoranda and legal opinions;
- Participating in due diligence activities for M&A and Private Equity transactions;
- Supporting the drafting and review of corporate and contractual documentation in Italian and English;
- Assisting in the preparation of minutes, powers of attorney, resolutions, and other corporate documentation;
- Supporting the team's professionals in the various phases of national and cross-border extraordinary transactions.
The ideal candidate has an excellent academic record, a thorough knowledge of the English language, and a strong interest in developing their career in an international environment. Any study or internship experience abroad will be considered a plus. The profile is completed by strong interpersonal and communication skills, intellectual curiosity, and an aptitude for working in a dynamic, collaborative, and highly qualified environment.

L’ufficio di Milano di Latham & Watkins è alla ricerca di una/un laureanda/o in Giurisprudenza con un forte interesse a intraprendere un percorso professionale in un contesto legale internazionale, per un inserimento tramite stage retribuito o pratica anticipata all’interno del dipartimento di Corporate M&A/Private Equity. ll dipartimento Corporate assiste fondi di private equity, società quotate e non quotate, gruppi industriali e investitori internazionali nell’ambito di operazioni straordinarie, tra cui fusioni e acquisizioni, investimenti, joint venture, riorganizzazioni societarie e altre operazioni corporate complesse.

In affiancamento al tutor e a un team di giovani professionisti, la risorsa sarà coinvolta attivamente in diverse attività, tra cui:

- supporto alle attività di ricerca giuridica e alla predisposizione di memorandum e pareri legali;
- partecipazione alle attività di due diligence nell’ambito di operazioni di M&A e Private Equity;
- supporto nella redazione e revisione di documentazione societaria e contrattuale in lingua italiana e inglese;
- assistenza nella predisposizione di verbali, procure, delibere e altra documentazione corporate;
- supporto ai professionisti del team nelle diverse fasi di operazioni straordinarie nazionali e cross-border.
La risorsa ideale possiede un eccellente percorso accademico, una conoscenza approfondita della lingua inglese e un forte interesse a sviluppare la propria carriera in un contesto internazionale. Eventuali esperienze di studio o stage all’estero saranno considerate un plus. Completano il profilo spiccate capacità relazionali e comunicative, curiosità intellettuale e attitudine a lavorare in un ambiente dinamico, collaborativo e altamente qualificato.
